STATUTE OF THE RELIEF ORGANIZATION OF THE ORDER OF MALTA  IN LITHUANIA

1.GENERAL PROVISIONS

Order of Malta Relief organization is public juridical person with limited civil responsibility.

The legal status of the Order of Malta Relief organization is association.

The name of association-  Order of Malta Relief organization.

The sign of Relief organization of the Order of Malta (further on referred to as association) is a white Maltese cross in a red background in a form of state’s arms.

The right to use Maltese name, sign and arms is given by Order of Malta, which can cancel it.

Association is a legal entity, in it’s activity following Constitution of the Republic of Lithuania, Civil Code, The Law of Associations, other laws and legal acts of the Republic of Lithuania as well as this Statute.

2.ASSOCIATION ACTIVITIES.

2.1. Association activities are based on Catholic and Order of Malta spiritual background.

The goal of Association activities is to protect the faith and to help poor (in Latin Tuitio fidei et obsequium pauperum).

The fields of Association activities: social help, homecare, work with children and youth, first aid and other social activities

To achieve to goals and working in those fields as above, Association is doing these activities:

  • open social canteens;
  • open social day centres;
  • organise home care services;
  • organise work with youth: provide services of open work with youth, mobile work with youth and street work with youth.

Association carries out its mission by cooperating with Order of Malta and with the Embassy of Order of Malta in Lithuania. The principles of this cooperating are defined in the agreement between Order of Malta and Association.

Licensed activity can be done only with certain licences and permissions.

Association can be the perceiver of support.

3. THE ADDRESS OF ASSOCIATION AND THE PERIOD OF ACTIVITY.

The address is Gedimino pr. 56b, Vilnius, Lithuania.

The period of activity is not limited.

Association’s financial year coincides with calendar year.

ASSOCIATION MEMBERS, THEIR RIGHTS AND OBLIGATIONS.

Association members can be all natural and juridical persons. They shall present applications and get approval from presidium, as well as to pay entering fee (10 litas/year).

New members are getting members rights after the paying entering fee in established order.

The order of entering fees and terms is determined by general meeting.

Association member has these rights:

  • to take part and to vote in general meetings;
  • to get acknowledge with association documents and to get all information about Association activities;
  • to use the services that Association provides;
  • to leave Association whenever they want; in such case entering fee, members fee or other funds are not returned;
  • to put on trial with a claim, to abolish the decisions of general meeting or the chairman, as well as to consider the deals of chairman as invalid, if they contradict to imperative legislative norms, Association Statute or cleverness and honesty principles;
  • to other rights established in the statute and laws.

In the Association headquarters and other Association subdivisions must be the list of all members. Every member has a right to acknowledge with it.

Member can be excluded from Association after presidium decision, if member fail to observe the requirements of statute or compromise the image of Association.

Members’ contribution can be money as well as other property defined by Property and Business Base Law, evaluated material and not material property. Association Secretary General is responsible for registering association members.

5. ASSOCIATION HONORARY MEMBERS

Association honorary members are elected in general meeting by majority of votes after presidium recommendations.

Association honorary member can be the citizen of Lithuania and other foreign countries who deserved for Association by their professional, scientific, educational, cultural and/or public activities.

Honorary member doesn’t have Association member’s rights and duties.

6. ASOOCIATION STRUCTURE AND MANAGEMENT.

Association gets civil rights, has civil duties and achieve them through its ruling bodies.

Association cannot get civil rights and duties through its members.

The structure of Association: general meeting, executive committee, presidium, revision commission and general secretary.

Association bodies must function only for Association benefit and do not have a right to make decisions or do other activities that would violate Association Statute or would contradict the goals defined in Laws.

7. GENERAL MEETING.

General meeting is the highest Association body, called not rarely than once in a four years. General meeting is entitled to pass decisions if at least half of members who took place in the last general meeting, are taking place, except the repeated general meetings.

General meeting competence:

  • to change the Statute;
  • to elect presidium;
  • to elect revision commission;
  • to approve entering fee and member fee and the order of payment (confirmed by separate document);
  • to approve Association’s financial accountability;
  • to decide about Association’s reorganisation or liquidation;
  • to decide about he need of Association auditing and to choose auditing company;
  • to decide about establishing other juridical persons or about participating in the activity of other juridical persons, except the cases defined in Associations Law, 16.2.9;
  • to discuss other questions, attributed by Associations law and the ones attributed to general meeting by Statute.

The general meeting is called after presidium decision.

Association director must inform all members about general meeting being called by registered mail, or making them sign for, not later than 15 working days before general meeting. If repeated general meeting is called, all members must be informed not later than 10 working days before it. General meeting may be called not observing these terms if all members having a right to vote, or their representatives, agrees in a written form.

In an information about general meeting being called must be pointed out:

  • the date and the place of general meeting;
  • the project of general meeting agenda.

The project of general meeting agenda can be specified. Members have a right to demand, that their suggested questions should be included to agenda.

If general meeting agenda from information report was specified, members must be informed in the same order as about general meeting not later than 5 days before general meeting.

General meeting must be recorded. Members and their representatives in general meeting are registered by signing in the register list. The chairman of general meeting and secretary signs this list and the record of general meeting, if they were elected.

The list of participants and information of calling general meeting are added with a record.

All Association members have a decisive right in general meeting. One member has one vote in general meeting. Other people, without a right to vote can take in a convention according to members’ agreement.

8. EXECUTIVE COMITEE AND ITS CALLING ORDER.

Instead of general meeting once a year is called executive committee, which fulfil the duties referred to general meeting, except the decisions about Association reorganisation and liquidation, reforming organisation or changing its status.

Executives are elected in Association subdivisions (branches), according to the inquiry of presidium.

The order of calling executive committee and taking decisions is defined by the same order as general meeting.

9. ASSOCIATION PRESIDIUM.

Association presidium is collegiate ruling body which members are elected in general meeting for four years.

Persons, who are irreproachable reputation, high morals, known by their public activities can be elected to presidium.

Presidium competence:

  • to run association activities;
  • to appoint and recall general secretary;
  • to decide about establishing subdivisions;
  • to make recommendations for subdivisions activities;
  • to approve Association’s projects;
  • to approve new members admission;
  • to discuss questions about big financial engagements;
  • to call general meeting;
  • other duties and rights provided in Association work regulating documents;

President is governing presidium work and represents Association in Lithuania and foreign countries.

Decisions in presidium are taken by simple majority of votes. If the votes distribute equally, president’s vote is decisive.

10. ASSOCIATION’S GENERAL SECRETARY

10.1. Association’s director organises daily Association work and acts with a name of Association in the relations with other persons, make and break off contracts with Association employees.

10.2. Association’s director is responsible for forming financial accountability preparing Association activities’ account and presenting it to general meeting, organise voluntary work under Government’s established order and solve other questions attributed to his confidence by Associations Law and Statute.

11. REVISSION COMISSION.

Members of revision commission are elected for four years term in general meeting.

There are three members in revision commission, and they elect president from themselves.

Revision commission controls the expediency of Association transactions and check annual financial accountability.

12. ASSOCIATION SUBDIVISIONS ESTABLISHING ORDER AND SUSPENDING THEIR ACTIVITIES.

Association, developing its activities and following the Civil Code of the Republic of Lithuania and other laws and legal acts can establish branches and subdivisions in the Republic of Lithuania.

Association branches are structural Association subdivisions, having their headquarters and fulfilling all or part of Association’s activities.

Branch is not a juridical person. Association is responsible for branches obligations ant the branches are responsible for Association obligations. The number of branches is not limited.

Association subdivisions according to authorization have a right to represent Association’s interests, to protect and fulfil other actions defined by legal acts under Association name.

The subdivision is following it’s own Statute, ratifies by presidium.

Decision for establishing subdivision or cancelling its activity is taken by presidium. The chairmen of subdivisions are appointed and discharged by the Association director.

13. THE ORDER OF PROVIDING DOCUMENTS AND OTHER INFORMATION ABOUT ASSOCIATION ACTIVITIES FOR MEMBERS.

Association director must inform members in a written form about events, having influence to Association activities.

Association members may get information about Association activities and get acknowledge with documents in the Association headquarters. Documents, copies and other information for members are provided with no fee.

14. THE ORDER OF DECLARATIONS AND ANNOUNCEMENTS.

14.1. Public information to which Association members have acknowledge, must be published and sent by registered mail to every Association member by Association director.

General meeting’s decisions and other reports, about what members or other persons must be informed, are sent to them not later than during 15 days after the date when the decision in general meeting was taken. Association Secretary General is responsible for decisions, announcements content and reporting.

Decision to reorganise or liquidate Association must be reported in a public way in a newspaper “Lietuvos rytas” three times, not more often than in a 30 days interval or must be declared once and informed all creditors.

Prepared conditions for reorganising Association have to be declared in a newspaper “Lietuvos rytas” three times, not more often than in a 30 days interval or must be declared once not later than 30 days before general meeting in which agenda it is planned to take a decision for reorganising, and reported to all Association’s creditors in a written form.

15. FUNDS AND PROPERTY USING ORDER AND ASSOCIATION ACTIVITIES CONTROLING ORDER.

15.1. Association funds consist of:

15.1.1. entering and members fees;

15.1.2. natural and juridical persons granted funds and support;

15.1.3. interests from credit companies, in what Association keeps money;

15.1.4. incomes from services, provided by Association;

15.1.5. other funds legally gained, among them funds from government, state institutions and municipalities for purposive programs.

Association funds and property are used to achieve goals and do activities defined in Statute and it cannot be divided in any form for Association members.

Association cannot sell property in obviously too cheap price except the cases, when in such way support is provided to the persons who under the Charity and Support law have such right.

Revision commission is controlling how association uses funds.

16. THE ORDER OF PROVIDING INFORMATION ABOUT ASSOCIATION ACTIVITIES TO SOCIETY.

Association Secretary general has to prepare and to present annual financial report to Association members. This report is public. Every natural and juridical person can acknowledge with it in the Association headquarters after a written request.

Information about Association activities provided to society is determined by general meeting. Association Secretary general is responsible for providing information.

17. CHANGING STATUTE ORDER.

17.1. General meeting has a right to change Statute. The majority of votes approve changes in a general meeting when at least 2/3 of members are taking part.

Authorized person from that general meeting, what made the changes, signs under the new Statute.

Statute changes and supplements are valid from the registration moment according to the laws.

18. CONCLUSIVE PART.

18.1. Questions, not discussed in this Statute are solved according to the laws of the Republic of Lithuania.

This Statute is written in three copies, all of them have the same juridical power.
